Independent Contractor Agreement

Section 1

Independent Contractor Relationship

You ("Field Vendor" or "Contractor") are engaged by Eyes on Property LLC ("Eyes on Property," "Company," "we," or "us") as an independent contractor. This agreement does not create an employment relationship, partnership, joint venture, or agency relationship of any kind between you and Eyes on Property.

As an independent contractor, you:

Are not an employee of Eyes on Property and are not entitled to employee benefits, including health insurance, retirement plans, paid leave, workers' compensation, or unemployment insurance
Are responsible for paying all applicable federal, state, and local taxes on income you earn through this engagement, including self-employment taxes
Are responsible for obtaining and maintaining any licenses, permits, or insurance required to operate as an independent contractor in your jurisdiction
Retain the right to work for other clients and companies, provided such work does not conflict with the Non-Solicitation provisions in Section 9 of this Agreement
Have the right to decline any individual assignment offered through the platform without penalty, subject to maintaining acceptable completion rates

Eyes on Property will issue IRS Form 1099-NEC for compensation paid in any calendar year in which you earn $600 or more through the platform, as required by law.

Section 2

Scope of Work

When you accept a field assignment through the Eyes on Property platform, you agree to perform the following services to our quality standards:

Visit the assigned property address within the timeframe specified in the assignment, which will be communicated through the field platform or field app
Photograph the property exterior from public areas or areas for which explicit access authorization has been granted, following the photo checklist associated with the assigned service type
Complete all required checklist items for the assigned service type (e.g., front elevation, street view, driveway, meters, roof visible condition, signage, mailbox, occupancy indicators)
Submit all photos and field notes through the Eyes on Property field app or assigned submission method within the time window specified in the assignment
Report access issues promptly: If you are unable to access or complete the assignment due to a genuine barrier (locked gate, active emergency, dangerous conditions), you must report this through the platform before the assignment deadline
Maintain photo quality standards: Photos must be in focus, adequately lit, and clearly show the documented subject. Blurry, obstructed, or unclear photos may require a return visit at no additional pay

Boundaries of authorized access: You are authorized to photograph only from public streets, sidewalks, and areas clearly open to the public, or from areas for which written access authorization has been explicitly noted in the assignment. Do not cross fences, enter gated areas, open doors, or access any part of the property interior under any circumstances.

Section 3

Professional Conduct

As a representative of Eyes on Property in the field, you are expected to maintain professional and law-abiding conduct at all times. Specifically, you agree to:

No trespassing: Never enter private property without explicit written authorization documented in the assignment. If you are uncertain whether an area is accessible, treat it as inaccessible and document the limitation in your field notes
No interior entry: Never enter the interior of any structure under any circumstances, regardless of whether a door is unlocked, a resident invites you in, or you believe interior access would improve the report
Respect for occupants and neighbors: If a resident, occupant, or neighbor approaches or questions your presence, identify yourself as a field documentation contractor, explain that you are photographing the exterior only, and disengage professionally
Privacy: Do not photograph individuals in a manner that could be considered intrusive or harassing. If occupants or neighbors are incidentally captured in exterior photos, avoid dwelling on or zooming into individuals
Legal compliance: Obey all traffic laws, parking regulations, and local ordinances at all times while conducting field visits
No misrepresentation: Do not claim to be a licensed home inspector, appraiser, code enforcement officer, or government agent
Ground-level documentation only: Drone flights, roof access, and interior photography are not part of the current service catalog. Do not add these activities to an assignment or substitute them for the required ground-level views.

Violations of this conduct policy may result in immediate removal from the platform and may be reported to appropriate authorities if the conduct involves unlawful activity.

Section 4

Equipment & Resources

As an independent contractor, you are responsible for providing your own tools and resources to complete assignments. Eyes on Property does not provide equipment. You are expected to maintain:

Smartphone or camera: A mobile device or camera capable of capturing clear, high-resolution photographs (minimum 8 megapixels recommended). The camera must be capable of embedding GPS location metadata in photos where technically supported and enabled
Reliable mobile data connection: Sufficient to submit photos through the field app and receive assignment updates while in the field
Reliable transportation: A vehicle, bicycle, or other means of transportation to reach assigned properties within your accepted service area. Eyes on Property does not reimburse transportation costs -- these are factored into per-job compensation
Field app access: A compatible mobile device capable of running the Eyes on Property field app or web-based submission portal. App updates must be installed promptly to maintain platform access

Compensation rates account for reasonable equipment use and transportation costs. Eyes on Property does not separately reimburse fuel, data, wear-and-tear, or other operational expenses.

Section 5

Compensation

Eyes on Property compensates field vendors on a per-job basis. Rates are established in your field account settings and may vary by service type, geographic area, and distance from your registered base location.

Pay Component	Description
Base pay	Per-job flat rate as specified in your account settings at the time of assignment acceptance. Rates vary by service type and geography.
Add-on commission	The additional commission shown for the assigned visit, based on your account settings and its approved routing and optional work. Current optional requests are metro rush, a 20-second exterior video, and commercial illuminated-sign / night documentation. Multi-visit routing is allocated per visit, not paid again as the full plan amount.
Pay period	Sunday through Saturday. Earned compensation for assignments completed and approved within a pay period is released the following Friday.
Payment method	Via direct bank transfer (ACH) or the payment method on file in your field account. You are responsible for keeping your payment information current.
Disputes	Pay disputes must be raised within 14 days of the payment date by contacting orders@eyesonproperty.com. We will review and respond within 5 business days.

Quality review: Completed assignments are subject to quality review before pay is approved. Assignments rejected for quality issues (e.g., missing photos, out-of-focus images, incorrect property) may require correction before pay is released. Assignments that cannot be corrected may not be compensated. Patterns of quality issues may result in account review or removal.

Eyes on Property does not guarantee a minimum number of assignments per week or month. Assignment volume depends on client order volume in your service area.

Section 6

Confidentiality

In the course of your work, you will have access to information that is confidential to Eyes on Property and its clients. You agree to treat the following as confidential and not to disclose, share, or discuss with any third party:

Client identity and contact information: Names, email addresses, phone numbers, or any other identifying information about the clients who ordered a property check
Property addresses: The specific addresses of properties you are assigned to inspect. You may share a general neighborhood if needed for navigation but should not disclose the specific address as an Eyes on Property assignment
Report contents: The content, findings, and photographs from completed assignments. Do not share, post, or publish any assignment photos on social media, review sites, or elsewhere without explicit written permission from Eyes on Property
Platform information: Internal platform tools, pay rates, operational procedures, or client volume information that you learn through your use of the field platform

Confidentiality obligations survive termination of this Agreement and continue indefinitely with respect to client data and report contents. You may confirm that you work as an independent field documentation contractor without disclosing specific client or assignment details.

Section 7

Photo Ownership

All photographs, videos, and visual documentation you capture during Eyes on Property field assignments are considered works made for hire to the extent permitted by law, and all rights, title, and interest in such photographs vest immediately in Eyes on Property LLC upon capture.

To the extent any photograph is not automatically owned by Eyes on Property as a work made for hire, you hereby assign and transfer to Eyes on Property all copyright and other intellectual property rights in such photographs, without reservation, for all current and future uses and media throughout the world.

You retain no right to use, publish, sell, license, or display assignment photographs for any purpose without Eyes on Property's prior written consent. This includes social media posts, portfolio use, and personal websites.

Personal photos you take on your own time that do not relate to any Eyes on Property assignment are not subject to this provision.

Section 8

Safety

Your personal safety is your responsibility at all times during field assignments. Eyes on Property does not supervise your field activities in real time and cannot anticipate or control the conditions you encounter. You agree to:

Exercise personal judgment: If a property, neighborhood, or situation feels unsafe, do not proceed. Your safety takes priority over completing an assignment. Report access or safety concerns through the platform and we will reassign or cancel the job
No unsafe access: Do not climb fences, scale structures, access rooftops, wade through standing water, or enter any area that presents a physical risk to your safety
No confrontation: If a situation at or near a property becomes confrontational or hostile, leave immediately and contact local authorities if appropriate. Report the incident through the platform as soon as safely possible
Driving safety: Obey all traffic laws while driving to and from assignments. Never review the field app or take photos while driving
Personal insurance: You are responsible for maintaining appropriate personal liability insurance and automobile insurance for your own protection. Eyes on Property does not provide liability coverage for independent contractors

Eyes on Property assumes no liability for injuries, accidents, property damage, or any other harm you incur while performing field assignments. You assume all risk of personal injury and property damage incident to your independent contractor activities.

Section 9

Non-Solicitation

During the term of this Agreement and for a period of 12 months following the end of your engagement with Eyes on Property (however terminated), you agree not to:

Directly solicit or accept direct field documentation assignments from any individual or entity that you know to be, or reasonably should know to be, a current or recent client of Eyes on Property, where you became aware of that client through your work on the Eyes on Property platform
Contact any Eyes on Property client whose information you obtained through your field account for the purpose of offering competing field documentation services

This provision does not restrict you from:

Working for any other field documentation company, property services company, or client that you sourced entirely independently of your Eyes on Property engagement
Accepting work from former Eyes on Property clients who contact you independently, provided you did not initiate that contact and did not use Eyes on Property client data to facilitate it
General advertising of your independent contractor services to the public

This is a targeted non-solicitation provision, not a broad non-compete. You remain free to work in the field documentation and property services industry without restriction, provided you do not directly solicit Eyes on Property's identified client relationships.

Section 10

Termination

This Agreement may be terminated by either party at any time, for any reason or no reason, without advance notice.

By you: You may stop accepting assignments and close your field account at any time. Notify us at orders@eyesonproperty.com so we can process your final payment promptly
By Eyes on Property: We may deactivate your field account at any time, including for quality issues, conduct violations, Agreement breaches, business reasons, or geographic changes in service coverage

Pending earned pay: Upon termination, any compensation that you have earned for assignments that were completed, submitted, and approved prior to termination will be released on the next standard payment cycle Friday following termination. Pay for assignments pending quality review at the time of termination will be processed upon completion of that review.

Sections 6 (Confidentiality), 7 (Photo Ownership), 9 (Non-Solicitation), and 11 (Governing Law) survive the termination of this Agreement.

Section 11

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict-of-law principles. Any dispute arising out of or related to this Agreement or your engagement with Eyes on Property shall be resolved exclusively in the state or federal courts located in Franklin County, Ohio, and both parties consent to personal jurisdiction in those courts.

Limitation of liability: To the maximum extent permitted by law, Eyes on Property's total liability to you arising from or related to this Agreement or any assignment shall not exceed the total compensation paid to you in the 30 days preceding the event giving rise to the claim.

Section 12

Entire Agreement & Modifications

This Agreement, together with any assignment-specific terms communicated through the field platform, constitutes the entire agreement between you and Eyes on Property with respect to your engagement as an independent contractor and supersedes all prior agreements, representations, and understandings.

Eyes on Property reserves the right to update or modify this Agreement at any time. Updated terms will be posted on this page with an updated effective date. Your continued use of the field platform after any modification constitutes acceptance of the revised Agreement. If you do not agree with a modification, you must cease using the platform and notify us of your intent to terminate.

No modification of this Agreement by any individual company representative -- verbal or written -- is binding unless it is posted as an official update to this page or delivered as a formal written amendment signed by an authorized officer of Eyes on Property LLC.

Agreement by Platform Use

By using the Eyes on Property field platform -- including registering an account, accepting an assignment, submitting photos, or receiving payment -- you confirm that you have read, understood, and agree to be bound by all terms of this Independent Contractor Agreement.
